Please read these Terms and Conditions carefully, as they form a binding agreement between you (the client) and Mobilvendor Software Company Cia. Ltda., whose registered office is located at Edificio Torre Gibraltar, Av. República de El Salvador 34-493, 170102, Quito – Ecuador.
Our Service includes multiple integrated features. In some cases, additional conditions or requirements may apply to specific modules. These additional terms will be made available together with the relevant services and will form part of the agreement you enter into with the company when using our services.
Use of Our Service
It’s important to understand that you must not misuse our Service. For example, you may not interfere with the Service or attempt to access it through any method other than the interface and instructions provided by authorized personnel. You may only use the Service as permitted by law, including applicable data usage and control regulations. Mobilvendor may suspend or terminate your access if you fail to comply with our policies or terms, or if we determine that your conduct is harmful or malicious.
Using our Service does not grant you ownership of any intellectual property rights in the Service itself or in the content, modules, or interfaces you access. You may only use the content and functionality of our Service if expressly authorized by the account holder who contracted the Service. These Terms do not grant you the right to use any trademarks or logos displayed on our platform.
In connection with your use of the Service, you authorize us to send you service-related notices, administrative messages, and other information we consider relevant and important. If you wish, you may request to opt out of certain types of communications.
Privacy Protection
Mobilvendor’s Privacy Policy explains how we process data and protect your privacy when you use our Service. By using our Service, you agree that Mobilvendor may handle your data in accordance with its Privacy Policy.
Your Data in Our Service
Our Service allows you to upload, send, process, analyze, export, store, and receive data. In all cases, you remain the sole owner of your data.
By uploading, storing, or receiving data, you grant Mobilvendor (and its affiliates) the necessary authorization to use, host, and store it. Our system automatically analyzes your data to generate management reports, which are published exclusively within your own session. These reports are never shared with external users outside your organization. This analysis takes place when the data is sent, received, and stored on our cloud servers (Amazon Web Services).
Mobile Software
Our Service includes software that can be downloaded to your device. This software may update automatically whenever new versions or features become available. We recommend enabling automatic updates so you can always use the latest version and avoid any issues with the functionality of the Service’s modules.
Modifying and Canceling Our Services
Mobilvendor is constantly evolving. For this reason, we reserve the right to add or remove certain features, or even suspend or discontinue a functionality altogether.
You may stop using our Services at any time, although we would regret to see you go. Likewise, Mobilvendor may discontinue providing the Services or introduce new limitations to certain features at any time.
We recognize that you are the owner of your data, and we consider it essential to preserve your access to it. If we discontinue a Service, and where it is reasonable and consistent with the initial service contract, we will notify you in advance and allow you to retrieve your information. You may also request that your data be downloaded and delivered in a digital file by contacting our support team (via phone or email).
Our Warranties and Disclaimers
Mobilvendor provides its Services with a commercially reasonable level of skill and care, and we hope you enjoy using them. However, we cannot offer guarantees regarding every aspect of our Services.
We guarantee that the data you store through our Service will never be lost and will always remain available. We ensure secure access to our Service by implementing SSL website security certificates and continuous backups in the AWS (Amazon Web Services) cloud.
While your data is backed up daily in the cloud, this does not mean our Services will always be provided through this specific cloud provider. Mobilvendor reserves the right to change or select another cloud service provider at any time, provided that the new provider offers equal or superior features.
Liability for Our Services
Where permitted by law, neither Mobilvendor nor its service providers or distributors shall be liable for loss of profits, revenues, data, financial losses, or for any indirect, special, consequential, exemplary, or punitive damages arising from the account holder’s use of the Service.
To the extent permitted by law, the total liability of Mobilvendor, as well as its providers and distributors, for any claim under these Terms—including any implied warranties—is limited to the amount you paid for the Services. In no event shall Mobilvendor, its providers, or distributors be liable for any loss or damage that could not have been reasonably foreseen.
About These Terms
These Terms and Conditions (“Terms” or “Agreement”) represent a binding agreement between Mobilvendor and the client. It is important that you understand the responsibilities and limitations of the Services you choose to use on our platform. Because our Services are diverse, additional service-specific terms may apply. If that is the case, such terms will become part of this Agreement.
Please use our Services responsibly. By using our website, mobile app, or any additional Services, you agree to these Terms and Conditions. Keep in mind that they may change from time to time. If you have used our Services before, you should not assume that the Terms remain unchanged. You should review them regularly on our website at www.mobilvendor.com
Mobilvendor will post notices regarding changes to these Terms on this page. Modifications will not apply retroactively and will take effect no earlier than 10 days after publication. However, modifications related to new Service features or legal requirements will take effect immediately. If you do not accept the modified Terms of a Service, you must stop using it.
In the event of a conflict between these Terms and any additional service-specific terms, these Terms shall prevail. These Terms govern the relationship between Mobilvendor and the client and do not create any rights for third-party beneficiaries. If you fail to comply with these Terms and Mobilvendor does not act immediately, that does not mean Mobilvendor is waiving any of its rights (for example, to take action in the future).
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect. Mobilvendor and the client irrevocably agree that, in the event of any dispute arising out of or in connection with this Agreement, both parties will make their best efforts to reach a mutually acceptable solution.
If no such solution is achieved, the matter shall be submitted to arbitration before the Arbitration and Mediation Center of the Quito Chamber of Commerce, in accordance with the Arbitration and Mediation Law and subject to the following rules:
1)Arbitrators will be appointed in accordance with the Arbitration and Mediation Law.
2)The parties waive their domicile and ordinary jurisdiction, agree to abide by the arbitral award issued by the Tribunal, and undertake not to file any appeals against such award.
3)For enforcement of precautionary measures, the Arbitral Tribunal may request compliance from public, judicial, police, and administrative authorities without resorting to ordinary courts.
4)The Arbitral Tribunal shall be composed of three arbitrators.
5)The arbitration proceedings will be confidential, the award will be rendered in law, and it will be final and binding on the parties.
6)The place of arbitration will be the facilities of the Arbitration and Mediation Center of the Quito Chamber of Commerce.
